GENERAL TERMS AND CONDITIONS

1.  Scope

(1)       These terms and conditions apply to agreements between
Michael Scheidler and his clients inasmuch as nothing contrary
has explicitly been agreed or is mandatory by law.

(2)       The client's general terms and conditions are only binding on Michael Scheidler if he has explicitly recognized them as such.

 

2.  Scope of translation order

The translation will be carried out diligently in accordance with the principles of proper professional practice. The client will receive a
copy of the translation as agreed.

 

3.  Client's obligation of cooperation and information

(1)       The client must inform Michael Scheidler on time about
particular design requirements for the translation (e.g. translation
on data carriers, number of copies, print readiness, translation
format etc.). Where the translation is intended for print, the client
must provide Michael Scheidler with a proof copy.

(2)       The client must provide Michael Scheidler on his own accord
and in time with information and documents required for
producing the translation (client glossaries, images, diagrams,
tables, abbreviations, etc.)

(3)       Michael Scheidler is not responsible for any errors resulting
from not meeting these obligations.

 

4.  Error correction

(1)       Michael Scheidler reserves the right to correct errors. The client
is entitled to a correction of any errors contained in the translation.
When asking for error correction the client must state the exact
nature of the error.

(2)       Where a correction or replacement is not successful, the
legal warranty terms apply unless agreed otherwise.

 

5.  Liability

Michael Scheidler is liable for intention and gross negligence. Liability
for culpable negligence only applies in the case of the violation of
material contractual obligations. Complaints must be issued in writing
no later than 7 days after receipt of the work.

 

6.  Professional secrecy

Michael Scheidler undertakes not to disclose any facts which become
known to him in connection with his work for the client.

 

7.  Remuneration

(1)       The remuneration is payable within 14 days after delivery of the
completed translation. The terms of delivery must be reasonable.

(2)       In addition to the agreed fee Michael Scheidler is entitled to the
reimbursement of actual expenditure agreed with the client.
Value added tax will be added. Michael Scheidler may ask for
an advance for large-scale translations where this is required
to carry out the translation. Where justified he may make the
delivery of his work conditional on the prior receipt of his full fee.

(3)       Where the amount of remuneration has not been agreed, 
the appropriate and customary fee with respect to the type 
and difficulty of the work is due. In this respect the fee levels
stipulated by the law on the remuneration of witnesses and 
expert witnesses provide the minimum basis for what is 
appropriate and customary.

 

8.  Retention of ownership and copyright

(1)       The title to the translation only passes to the client after payment
has been made in full. Until then the client does not have a right
of usage.

(2)       Michael Scheidler reserves his copyright.

 

9.  Applicable law

(1)       The order and all resulting claims are governed by German law.

(2)       The invalidity and inefficacy of individual clauses does not affect
the validity of these terms and conditions as a whole.
